13．裝運條款：

shipping terms:

□fob

賣方應在合同規定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船隻按期到達裝運港後，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物越過船弦並脱離吊鈎以前一切費用和風險由賣方負擔。

the sellers shall,30 days before the shipment date specified in the contract advise the buyers by cable/telex/fax of the contract no.,commodity,quantity,amount,packages,gross weight,measurement,and the date of shipment in order that the buyers can charter a vessel/book shipping space,in the event of the sellers'failure to effect loading when the vessel arrives duly at the loading port,all expenses including dead freight and/or demurrage charges thus incurred shall be for seller's account.

賣方須按時在裝運期限內將貨物由裝運港裝船至目的港。在cfr術語下，賣方應在裝船前2天電傳/傳真/電報買方合同號、品名、發票價值及開船日期，以便買方安排保險。

the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of r cfr terms,the sellers shall advise the buyers by cable/fax/telex of the contract no.,commodity,invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

賣方須按時在裝運期限內將貨物由裝運港裝運至目的港。

the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination.

14.裝運通知：

shipping advice:

一俟裝載完畢，賣方應在____小時內電傳/傳真/電報買方合同編號、品名、已發運數量、發票總金額、毛重、船名/車/機號及啟程日期等。

the sellers shall immediately,upon the completion of the loading of the goods,advise buyers of the contract no.,names of commodity,loading quantity,invoice values,gross weight,names of vessels and shipment date by tlx/fax/cable within____hours.

15．質量保證：

quality guarantee:

貨物品質規格必須符合本合同及質量保證書之規定，品質保證期為貨到目的港________個月內。在保證期限內，因製造廠商在設計製造過程中的缺陷造成的貨物損害應由賣方負擔賠償。

the sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and letter of quality guarantee period shall be ____months after the arrival of the goods at the port of destination,and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

16．商品檢驗：賣方須在裝運前____日委託____檢驗機構對本合同之貨物進行檢驗並出具檢驗證書，貨到目的港後，由買方委託____檢驗機構進行復檢。

17．索賠：

claims:

如經中國____檢驗機構複檢，發現貨物有損壞、殘缺或品名、規格、數量及質量與本合同及質量保證書之規定不符，買方可於貨到目的港後____天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。

the buyers shall lodge claims against the sellers based on the inspection certificate issued by china________inspection authority____days after the arrival of the goods at the destination,if the goods are found to be damaged,missing or the specifications,quantity,and quality not in conformity with those specified in this contract and letter of quality case the claim period above specified is not in conformity with the quality guarantee period,during the quality guarantee period,the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

18．延期交貨違約金：

late delivery and penalty

除雙方認可的不可抗力因素外，賣方遲於合同規定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行修改和同意銀行在議付貨款時扣除本條規定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0．5%計算，不滿7天仍按7天計算。在未採用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。

if the sellers fail to make delivery on time as stipulated in the contract,with exception of force majeure,the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation,the penalty,however,shall not exceed 5% of the total value of the rate of penalty is charged at 0.5% for every seven days,if less than seven case,the payment is not made through l/c,the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19．不可抗力：如發生不可抗力情況，賣方應及時以電報/傳真/電傳通知買方，並在14天內郵寄事故發生地政府或商會出具的證明事故的文件。

force majeure:the sellers shall advise the buyers by cable/fax/tlx in case of force majeure,and furnish the later within 14 days by registered airmail with a certificate issued by local government/chamber of commerce attesting such event or events.

20．爭議之解決方式：

disputes settlement:

□任何因本合同而發生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。

all disputes arising out of the contract or concerning the contract,shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its arbitration arbitration shall take place in arbitral award is final and binding upon both parties.

21．法律適用：

law application:

本合同之簽訂地、或發生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規定外，適用《聯合國國際貨物銷售合同公約》。

it will be governed by the law of the people's republic of china under the circumstances that the contract is signed or the goods while the disputes arising are in the people's republic of china or the defendant is chinese legal person,otherwise it is governed by united nations convention on contract for the international sale of goods.

22．本合同使用的fob、cfr、cif、ddu術語系根據國際商會《incoterms1990》。

the terms in the contract are based on incoterms 1990 of the international chamber of commerce.

23．文字：

本合同中、英兩種文字具有同等法律效力，如文字解釋有異議，應以中文本為準。
