1.寄售人將不斷地把______(貨物)運交給代售人代售。貨物價格為CIF市價，約隔90天運交一次。

2.代售人在徵得寄售人對價格、條款等的同意之後，必須盡力以最好價格出售寄售商品。

3.開始階段，每次船運貨物的價格不得超過_______美元，代售人未償付的貨款不能超過_________美元。

Each shipmentby ship at the initial stage will not exceed U.S.D_______and the outstandingliabilities on the Consignee shall be in the vicinity of not more than U.S.D._______ only.

4.寄售人對賒銷造成的壞賬不負任何責任，代售人在任何時候均負有支付寄售人貨款的義務。

TheConsignor shall at no time be responsible for any bad debts arising out ofcredit sales to any _______ buyers. Making payments to the Consignor shall atall times be the sole responsibility of the Consignee.

5.代售人將接受寄售人開立的以代售人為付款人的90天遠期匯票，年利_____%。

6.代售人以簽字信託收據從寄售人銀行換取包括提單在內的裝運單據。

The Consignee shallcollect the shipping documents including B/L from the Consignor’s bank againstTrust Receipt duly signed by the Consignee.

7.寄售人負擔貨物售出之前的保險費和倉儲費。

The Consignor shallabsorb insurance premium and warehousing charges up to the date of delivery tocustomers.

8.仲裁:

Arbitration:

凡因本協議引起的或與本協議有關的任何爭議應協商解決。若協商不成，應提交華南國際經濟貿易仲裁委員會，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

Any dispute arising from or inconnection with the Contract shall be settled through friendly negotiation. Incase no settlement is reached, the dispute shall be submitted to South ChinaInternational Economic and Trade Arbitration Commission (SCIA) for arbitrationin accordance with its rules in effect at the time of applying for  arbitral award is final and binding upon both parties.

9.本協議用中英文兩種文字寫成，兩種文字具有同等效力。本協議共__份，自雙方代表簽字(蓋章)之日起生效。

第一條代銷車輛的基本信息

第二條代理費支付時間、方式

第六條雙方事先約定事項

合同期內，試車裏程不超過________公里，車輛有10升以上的燃油。

第七條甲方的權利和義務

(一)、所提交的證件資料真實、合法、有效，並完全擁有所有權或處置權。

(二)、因甲方原因造成車輛不能過户或轉籍，甲方無條件接受第三方(買方)退回的車輛，並向乙方支付雙倍代理費和因此發生的過户費用;因車輛本身原因造成車輛不能過户或轉籍，甲方無條件接受第三方(買方)退回的車輛，並向乙方支付全額代理費和因此發生的過户費用。

(三)、在合同期內，甲方不得隨意提取、自行或委託他人出售該車輛，否則乙方有權單方解除合同，並要求甲方支付全額代理費和因此實際發生的費用。

(四)、車輛在交接之前的所有交通事故責任、違章罰款、債務等由甲方承擔，若車輛銷售成功，甲方承擔的責任不因合同的終止而終止。

(五)、甲方到場辦理，並提供以下有效證件：身份證原件、其他證件：______。

(六)、甲方承擔車輛過户税費(憑發票實報實銷)。

第八條乙方的權利和義務

(一)、若合同期內車輛未能售出，已經發生的費用由乙方自己承擔。

(二)、在合同期內，乙方應妥善保管甲方交給的車輛、各種證件、文件和資料。

第九條合同的變更、解除、終止

(一)、合同期內任何一方需要變更合同，應提前三天以書面形式通知對方，經雙方協商同意後另行簽訂補充合同，補充合同具有同等法律效力。

(二)、合同期內需要解除合同，須經雙方一致同意。否則，單方解除合同視為違約，並承擔違約責任。

(三)、合同期滿後，合同自然終止，雙方辦理相關車輛交接手續。經雙方協商需要續簽合同的，應在合同期滿前一天辦理續簽手續。

第十條違約責任

任何一方違反本合同約定，須向對方雙倍支付代理費作為違約金，並承擔因此給對方造成的一切經濟損失和相應的法律責任。

第十一條解決合同糾紛的方式

雙方發生合同爭議時，可向仲裁委員會申請仲裁。
