9.付款條件;買方應通過買賣雙方同意的銀行，開立以賣方為受益人的、不可撤銷的、可轉讓和分割的信用證。該信用證憑裝運單據在______銀行見單即付。該信用證必須在______________前開到賣方。信用證有效期為裝船後15天在_______________到期。

10.裝運單據：賣方應提供下列單據。

(1)已裝船清潔提單;

(2)發票;

(3)裝箱單;

(4)保險單。

11.裝運條件：

(1)載運船由賣方安排，允許分批裝運，並允許轉船;

(2)賣方於貨物裝船後，應將合同號碼、品名、數量、船名、裝船日期以電報通知買方。

12.索賠：賣方同意受理因貨物的質量、數量和(或)規格與合同規定不符的異議索賠，但賣方僅負責賠償由於製造工藝不良或材質不佳所造成的質量不符部份。有關安裝不當或使用不善造成的索賠或損失，賣方均不予受理。提出索賠異議必須提供有名的、並經賣方認可公證行的檢驗報告。有關質量方面索賠異議應於貨到目的地後3個月內提出，有關數量和(或)規格索賠異議應於貨到目的地後30天內提出。一切損失凡由於自然原因或屬於船方或保險公司責任範圍內者，賣方概不受理。如買方不能在合同規定期限內將信用證開出，或者開來的信用證不符合合同規定，而在接到賣方通知後，不能按期辦妥修正，賣方可以撤銷合同或延期交貨，並有權提出賠償要求。

13.不可抗力：因不可抗力不能如期交貨或不能交貨時，賣方不負責任。但賣方必須向買方提供中國國際貿易促進委員會或其他有關機構所出具的證明。

14.仲裁：凡因執行本合同或與本合同有關事項所發生的一切爭執，應由雙方通過友好協商方式解決。如不能取得協議時，則在被告國家根據被告國家仲裁機構的仲裁程序規則進行仲裁。仲裁裁決是終局的，對雙方具有同等的約束力。仲裁費用，除仲裁機構另有決定外，均由敗訴方負擔。

15.其他：對本合同之任何變更及增加，僅在以書面經雙方簽字後，方為有效，任何一方在未取得對方書面同意前，無權將本合同規定之權利及義務轉讓給第三者。

自本合同簽訂後，以前有關本批交易的函電均作為無效。

OTHER TERMS:

1. 異議：品質異議須於貨到目的口岸之日起30天內提出，數量異議須於貨到目的口岸之日起15天內提出，但均須提供經賣方同意的公證行的檢驗證明。如責任屬於賣方者，賣方於收到異議20天內答覆買方並提出處理意見。

Discrepancy: In case of quality discrepancy, claim should be lodged by the Buyers within 30 days after the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lodged by the Buyers within 15 days after the arrival of the goods at the port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on the part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send their reply to the Buyers together with suggestion for settlement.
