雙方一致同意約定如下：

第一條 委任與接受

在本協議有效期內，賣方指定代理商為本協議第四條項下商品的獨家代理商，在第三條所規定的區域內招攬顧客的訂單。代理商同意並接受上述委任。

第二條 代理商的義務

代理商應嚴格遵守賣方隨時給予的任何指令，而且不得代表賣方作出任何擔保、承諾以及訂立契約、合同或作其他對賣方有約束力的行為。對於代理商違反賣方指令或超出指令範圍所用的一切作為或不作為，賣方都將不承擔任何責任。

第三條 代理區域

第五條 獨家代理權

基於本協議授予的獨家代理權，賣方不得在代理區域內，直接地或間接地，通過其他渠道銷售、出口代理商品。代理商也不得在代理區域內經銷、分銷、或促銷與代理商品相似或有競爭性的商品，也不能招攬或接受到區域外銷售為目的訂單。在本協議有效期內，對來自於區域內其他顧客有關代理商品的訂單、詢價，賣方都應將其轉交給代理商。

第六條 最低代理額和價格

在本協議有效期內，如果賣方通過代理商每所(12個月)從顧客處收到的貨款總金額低於_______ ，則賣方有權提前30天書面通知代理商解除本協議。

賣方應經常向代理商提供最低的價格表以及商品可以成交的條款、條件。

第七條訂單的處理

在招攬訂單時，代理商應將賣方成交的條件、合同的一般條款充分通知顧客，也應告知顧客任何合同的訂立都須經賣方的確認。代理商應將其收到的訂單立即轉交給賣方，以供賣方選擇是否接受訂單。賣方有權利拒絕履行或接受代理商所獲得的訂單或訂單的一部分，而代理商對於被拒絕的訂單或其中的一部分，無任何佣金請求權。

第八條 費用分擔

除另有約定外，所有的費用和支出，如電訊費、差旅費以及其他有關商品銷售的費用，都應由代理商承擔。除此以外，代理商還應承擔維持其辦公處所、銷售人員以及用於執行賣方中有關代理商的義務而發生的費用。

第九條 佣金

賣方接受代理商直接獲得的所有訂單後，就應按商品淨銷售額的百分之_____，以______(貨幣)支付給代理商佣金。佣金只有在賣方收到顧客的全部貨款後，每6個月支付一次，以匯付方式支付。

第十條商情報告

賣方和代理商都應按季度或按對方要求提供有關市場信息的報告，以儘可能促進商品的銷售。代理商應向賣方報告商品的庫存情況、市場狀況及其他商業活動。

第十一條 商品的推銷

在代理區域內，代理商應積極地充分地進行廣告宣傳以促進商品的銷售。賣方應向代理商提供一定數量的廣告印刷品、商品樣本、小冊子以及代理商合理要求的其他材料。

第十二條 工業權保護

在本協議有效期內，代理商可使用賣方的商標，但僅限於代理商品的銷售。如果在本協議終止後，代理商地銷售庫存代理商品時，仍可使用賣方的商標。代理商也承認使用於或包含於代理商品中的任何專利、商標、版權以及其他工業產權，都屬於賣方所有，並且不得以任何方式提出異議。一旦發現浸權，代理商應及時通知賣方並協助賣方採取措施保護賣方產權利益。

第十三條 協議期限

本協議經雙方簽字生效。在本協議終止前至少3個月，賣方或代理商應共同協商協議的續延。如果雙方一致同意續延，在上述規定的條款、條件下，附上補充文件，本協議將繼續有效另外_______年。發生續延，本協議將於______年______月______日終止。

第十四條 協議的中止

在本協議有效期內，任何一方當事人不履行合同或違反本協議的條款，如第五、六、十一條，雙方當事人座爭取及時解決爭議的問題以期雙方滿意。如果在違約方接到書面通知後30日內問題仍不能解決，非違約方將有權中止本協議，由此造成的損失、無力償付債務、清算、死亡以及被第三人兼併，另一方當事人可提出中止本協議，而無需書面通知對方。

第十五條 不可抗力

任何一方對由於下列原因而導致不能或暫時不能履行全部或部分協議義務的，不負責任：

自然災害、政府採購或禁令以及其他任何雙方在簽約時不能預料、無法控制且不能避免和克服的事件。但受不可抗力影響的一方，應儘快地將發生的事件通知對方，並附上證明材料。

第十六條 準據法

本協議有關貿易條款應按 INCOTERM90解釋。本協議的有效性、組成以及履行受中華人民共和國法律管轄。

第十七條 仲裁

對於因履行本合同發生的一切爭議，雙方應友好協商解決，如協商無法解決爭議，則應提交中國國際經濟貿易仲裁委員會(北京)，依據其仲裁規則，仲裁費應由敗訴一方承擔，仲裁委員會另有規定的除外。

本合同由雙方代表簽字後生效，一式兩份，雙方各執一份。

EXCLUSIVE AGENCY AGREEMENT

This Agreement is made and entered into this _____ day of _____ ,19 - by and between . a corporation duly organized and existing under the laws of Peoples Republic of China,with its principal place of business at ____ (hereinafter called Seller) and . a corporation duly organized and existing under the laws of ____,with its principal of business at ____(hereinafter called Agent). Article 1. Appointment

Article 3. Territory

Article 5. Exclusive Right

Aritcle 6. Mimimum Transaction and Price

Article ission

Agent shall also acknowledge that any and all patents, trade - marks, copyright and other industrial property rights used or embodied in Products shall remain to be sole properties of Seller and shall not dispute them in any way. If any infringement being found, Agent shall promptly notify seller and asist seller to take steps to protect its right.

Article 13. duration

This Agreement shall enter into force on the signing of both parties. At least three(3) months before the expiration of the term, both Seller and Agent shall consult each other for renewal of this - Agreement. Article 14. Termination

The trade terms under this Agreement shall be governed and interpreted under the provisions of 1990 Incoterms and this Agreement shall be governed as to all matters including valitity,construction,and preformance under the laws of Peoples Republic of China.

Article 17. Arbitration:

All disputes arising from the performance of the Agreement should be settled through friendly negotiations. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. The Arbitration fee shall be born by the losing party unless otherwise awarded by the arbitration organization.

WITNESS THEREOF: This Agreement shall come into effect immediately after it is signed by boty parties in two original copies;each party holds one copy.

3.本合同簽訂之日起的首個季度管理費用自20__年月日起正式開始計算。

第五條浮動抵押Article5FloatingMortgage

1.借款方以其現有的和將來擁有的生產設備、原材料、成品和半成品向貸款方提供抵押。

2.《抵押物清單》對抵押物價值的約定，並不作為貸款方依本合同對抵押物進行處分的估價依據，也不構成貸款方行使抵押權的任何限制。
